Info Comm Fee

Info Comm Fee. Shall mean the license fee of $500,000 due upon exercise of the "option to expand license" prior to the Closing Date pursuant to the Software License and Maintenance Agreement dated December 12, 1997 between Mark Pizzolato (Info Comm) and Company, as amended on the date hereof, of which (i) $475,000 shall be paid as a Company Transaction Fee and (ii) $25,000 shall be paid as restricted shares of Company Common Stock pursuant to Section 6.19 hereof.
