Initial Purchaser Option

Initial Purchaser Option. Shall mean the election by the Initial Purchaser of its option to purchase up to an aggregate amount of $10,000,000 of Merix Convertible Notes pursuant to the Purchase Agreement for the Merix Convertible Notes between Parent and the Initial Purchaser, which may be exercised not later than thirteen (13) days after the date of such Purchase Agreement.
