Initiating Holder

Initiating Holder. Means the Holder delivering the Demand Notice or the Underwritten Offering Notice, as applicable.

Initiating Holder. Any Holder who requests the Company to Register its Registrable Securities pursuant to Sections 3(b) or 3(c) (or with respect to a Takedown, who requests the Company to effectuate a Takedown pursuant to Section 3(a)), provided however, with respect to requests pursuant to Section 3(b) by any Holder other than any Investor or any Affiliate of any Investor, such Holder continues to own at least five percent of the total outstanding principal amount of the Notes

Initiating Holder. Means either a Holder or group of Holders of the Registrable Securities representing at least 50.1% of the then outstanding Registrable Securities (provided that at such time, such Holder or Holders represent at least 50.1% of the shares of Common Stock sold under the Purchase Agreement).

Initiating Holder. Means either (i) a holder of Series D Preferred Shares with an aggregate Stated Value (as defined in the Certificate of Designations, Preferences and Rights and Number of Shares of Series D Convertible Preferred Stock) of at least $2,000,000 or (ii) a holder of Series D Preferred Shares representing at least 50.1% of the then outstanding Series D Preferred Shares and the term Initiating Holders shall mean a group of holders of Series D Preferred Shares representing at least 50.1% of the then... outstanding Series D Preferred Shares (provided that at that such time the aggregate Stated Value of the then outstanding Series D Preferred Shares is at least $5,000,000). Initiating Holder. With respect to a particular registration, the Holder who initiated the Request for such registration.

Initiating Holder. Any Holder who properly initiates a registration request under this Agreement

Initiating Holder. Has the meaning set forth in Section 2(a) hereof. For purposes of this Agreement, each group of two or more affiliated Harvest Shareholders collectively making a request for a Demand Registration, two or more affiliated Pine Brook Shareholders collectively making a request for a Demand Registration and two or more affiliated FFL Shareholders collectively making a request for a Demand Registration shall be deemed to be one Initiating Holder.

Initiating Holder. Means the Holder (or Holders) delivering, or participating in, the Demand Notice or the Underwritten Offering Notice, as applicable.

Initiating Holder. Means each of EHIH, Tene and CI.

Initiating Holder. Mr. Zalupski, on behalf of himself or POZ Holdings, Inc., after properly initiating a registration request under this Agreement.
