Insolvency Proceeding

Insolvency Proceeding. Means any proceeding commenced by or against any Person under any provision of the Bankruptcy Code, or under any other bankruptcy or insolvency law, assignments for the benefit of creditors, formal or informal moratoria, compositions, extensions generally with creditors, or proceedings seeking reorganization, arrangement, or other similar relief.

Insolvency Proceeding. Are proceedings by or against any person under the United States Bankruptcy Code, or any other bankruptcy or insolvency law, including assignments for the benefit of creditors, compositions, extensions generally with its creditors, or proceedings seeking reorganization, arrangement, or other relief.

Insolvency Proceeding. Shall mean and includes any proceeding or case commenced by or against Borrower, or any guarantor of Borrower's Indebtedness, or any of Borrower's account debtors, under any provisions of the Bankruptcy Code, as amended, or any other bankruptcy or insolvency law, including, but not limited to assignments for the benefit of creditors, formal or informal moratoriums, composition or extensions with some or all creditors, any proceeding seeking a reorganization, arrangement or any other relief... under the Bankruptcy Code, as amended, or any other bankruptcy or insolvency law. Insolvency Proceeding. Shall mean, as to any Person, any of the following: (a) any case or proceeding with respect to such Person under the Bankruptcy Code or any other Federal or State bankruptcy, insolvency, reorganization or other law of any jurisdiction affecting creditors' rights or any other or similar proceedings seeking any stay, reorganization, arrangement, composition or readjustment of the obligations and indebtedness of such Person or (b) any proceeding seeking the appointment of any trustee, receiver,... liquidator, custodian or other insolvency official with similar powers with respect to such Person or any of its assets or (c) any proceeding for liquidation, dissolution or other winding up of the business of such Person or (d) any assignment for the benefit of creditors or any marshaling of assets of such Person. Insolvency Proceeding. The term "Insolvency Proceeding" means any proceeding commenced by or against any person or entity, including Borrower or Broker-Dealer under any provision of the federal Bankruptcy Code, as amended, or under any other bankruptcy or insolvency law, including, but not limited to, assignments for the benefit of creditors, formal or informal moratoriums, compositions or extensions with some or all creditors.

Insolvency Proceeding. Means any proceeding commenced by or against any Person under any provision of title 11 of the United States Code, as in effect from time to time, or under any other state or federal bankruptcy or insolvency law, assignments for the benefit of creditors, formal or informal moratoria, compositions, extensions generally with creditors, or proceedings seeking reorganization, arrangement or other similar relief.

Insolvency Proceeding. Means, and shall supersede and replace any definition of "bankruptcy" set forth in the Act, with respect to a Person, that such Person (specifically, with respect to an individual, such individual, and with respect to an entity, such entity), whereby an involuntary transfer of any Units held by such Person occurs where such Person: (i) applies for, or consents to, the appointment of a receiver, trustee or liquidator of such Person or of all, or substantially all, of such Person's assets; (ii)... files a voluntary petition in bankruptcy or admits in writing such Person's inability to pay such Person's debts as they become due; (iii) makes a general assignment for the benefit of creditors; (iv) files a petition or an answer seeking reorganization or arrangement with creditors or takes advantage of any insolvency law; (v) is subject to an order, judgment or decree that is entered by a court of competent jurisdiction, adjudicating such Person to be bankrupt or insolvent, or approving a petition seeking reorganization or appointing a receiver, trustee or liquidator of all, or substantially all, of such Person's assets, and such order, judgment or decree shall not have been dismissed within one hundred (120) days following the commencement thereof, or if within 90 days after the appointment without such Person's consent or acquiescence of a trustee, receiver or liquidator of such Person or of all or any substantial part of such Person's properties, the appointment is not vacated or stayed, or within 90 days after the expiration of any such stay, the appointment is not vacated; or (vi) any material portion of such Person's properties or assets is attached, seized, subjected to a writ or distress warrant, or is levied upon, or comes into the possession of any other Person as a result thereof.
