INSTROMEDIX EMPLOYEES

INSTROMEDIX EMPLOYEES. Means, collectively: (a) the Key Employees; (b) the Business Employees; and (c) those persons who would be considered Transfer Date Employees if the Transfer Date were to occur on the date hereof (i.e., those persons who are currently employed by Seller and whose jobs are described in the definition of "Transfer Date Employees").
