INTEREST CONVERSION PRICE. Means, with respect to any Interest Date, the greater of (i) the Conversion Price, and (ii) that price which shall be computed as 95% of the arithmetic average of the Weighted Average Price of -22- the Common Stock on each of the ten (10) consecutive Trading Days commencing two (2) Trading Days after the Interest Notice Due Date and ending on the third (3rd) Trading Day immediately preceding the applicable Interest Date (each, an "INTEREST MEASURING...
