InterestDividend Coverage Ratio. Means, (a) as of any date of determination prior to April 1, 2000, the ratio of (i) Consolidated EBITDA for the immediately preceding twelve month period to (ii) the sum of (x) Consolidated Interest Expense, plus (y) the amount of any dividends or distributions paid on any preferred stock of AMRESCO or any of its Subsidiaries to Persons who are not Affiliates of AMRESCO and its Subsidiaries, other than in kind dividends on Permitted... Preferred Stock, less (z) the amount of prior fees paid related to financings and capital events of AMRESCO and its Subsidiaries that are expensed in such period, all for the same immediately preceding twelve calendar month period, and (b) as of any date of determination from and after April 1, 2000, the ratio of (i) New Consolidated EBITDA for the period commencing on April 1, 2000 through the end of the period for which the calculation is being made, to (ii) the sum of (x) Consolidated Interest Expense for such period, plus (y) the amount of any dividends or distributions paid during such period on any preferred stock of AMRESCO or any of its Subsidiaries to Persons who are not Affiliates of AMRESCO and it Subsidiaries, other than in kind dividends on Permitted Preferred Stock, less (z) the amount of prior fees paid during such period related to financings and capital events of AMRESCO and its Subsidiaries that are expensed in such period.
