Interferon Acquisition

Interferon Acquisition. Shall mean the acquisition of certain assets and technology of Interferon Sciences, Inc. ("Interferon") pursuant to asset purchase agreements, dated as of March 11, 2003, between the Company and Interferon, a true and complete copy of which has been delivered by the Company to each initial holder of Debentures in accordance with the Securities Purchase Agreement.
