Example Definitions of "INVESTOR Call Option"
INVESTOR Call Option. Means Investor's right, pursuant to Section 8.2(e), to acquire the entirety of the membership interests of MSPA 1 for an option exercise price equal to that portion of the Investment that has been paid to MSPA 1 as of the date of the occurrence of an Event of Default. In the event the INVESTOR elects to exercise the INVESTOR Call Option, it shall do so by giving written notice to MSPA 1 and to MSP within ninety (90) days of INVESTOR's actual knowledge of the occurrence of an Event of Default... (the "INVESTOR Call Option Exercise Notice"). The closing of the INVESTOR Call Option shall occur on the next Business Day occurring after the date of the INVESTOR Call Option Exercise Notice.
