Investor Payments. Shall mean, in connection with a Sale, the amount of any sign on bonus, up-front loan, equity or other compensation or consideration provided to any members of senior management of Investor by a third party purchaser in the Sale, and the full amount of any applicable employer portion of withholding taxes that the Company will be obligated to pay in connection with such payments
