INVESTOR PRIORITY

INVESTOR PRIORITY. Means an amount of Investor Registrable Securities equal to $50,000,000 in the aggregate less the aggregate value (based on the public offering price determined as of the date of sale) of all Investor Registrable Securities sold from time to time prior to the date of such determination in an offering to the public registered pursuant to this Agreement.
