Involuntary Separation from Service. Separation from Service due to the independent exercise of the unilateral authority of the Service Recipient to terminate the Executive's services, other than due to the Executive's implicit or explicit request, where the Executive was willing and able to continue performing services, within the meaning of Code section 409A and Treasury Regulation section 1.409A-1(n)(1) or any successor thereto

Involuntary Separation from Service. Shall have the meaning set forth in Treasury Regulations ยง 1.409A-1(n).
Involuntary Separation from Service. Means a Participant's Termination of Employment with the Company for reasons other than Cause, death of the Participant, or Disability. A Constructive Discharge shall only be considered an Involuntary Separation from Service if such Constructive Discharge complies with the timing, notice and other requirements of Section 3.2B.
