IPO Valuation. With respect to the Company, the product of (i) the aggregate number of shares of Common Stock outstanding on a fully diluted basis immediately prior to the Initial Public Offering multiplied by (ii) the price per share of the shares of Common Stock offered in the Initial Public Offering based on the information provided in the Company's Registration Statement.
