IRR Event

IRR Event. A transaction constituting a Change in Control, pursuant to which each of the Original Investors attain a 32.5% compounded annual rate of return based on the price per Share paid by the Original Investors at the Closing Date and the price per Share obtained upon the Change in Control, as appropriately adjusted for any Change in Capitalization.
