Ivanhoe Indemnity

Ivanhoe Indemnity. Means the indemnity by Ivanhoe in favour of the Transferors in respect of any Claims made by the Transferors in respect of any breach of the representations and warranties made by Ivanhoe Holdings in Section 2.9, and in respect of Ivanhoe Holding's obligations pursuant to Section 8, such indemnity to be in form and substance satisfactory to Ivanhoe and the Transferors, all acting reasonably.
