JCP Fund

JCP Fund. Shall mean (i) each of Jefferies Capital Partners IV, L.P., JCP Partners IV, LLC, Jefferies Employee Partners IV, LLC (the "JCP Entities"), (ii) each of the respective general partners or managing members of such JCP Entity (a "JCP Partner") and (iii) any corporation, partnership or other entity that is an Affiliate of any of the JCP Entities or any JCP Partner (including Jefferies Capital Partners LLC, but excluding the Company and its subsidiaries) (collectively, "JCP Affiliates"). ]1
