Joint Direction

Joint Direction. Means a written direction relating to (i) an agreement of the Stockholders' Representative and Buyer for the release of a portion of the Escrowed Funds, (ii) the investment of the Escrowed Funds or (iii) the removal of the Escrow Agent in accordance with Section 5.7 hereof, in each case executed by each of the Stockholders' Representative and Buyer, and delivered to the Escrow Agent in the manner set forth in Section 8 hereof.
