KM. As used in this Agreement shall mean and include Kinder Morgan Energy Partners, L.P., Kinder Morgan, Inc., Kinder Morgan Management, LLC and their respective divisions, subsidiaries, parents and/or affiliates, successors or assigns, and, for purposes of this Agreement, the term "affiliates" shall have the same definition as the term "affiliated group" in Section 1504(a) of the Internal Revenue Code of 1986, as amended from time to time.
