Kythera Holdings Ltd., a company incorporated under the laws of Bermuda, and any successor thereof pursuant to merger, consolidation, reorganization, recapitalization or other business combination, by operation of law or otherwise and any counterparty to a Specified Transaction involving Kythera Bermuda.
