Laurel Crown Registrable Securities. Means (i) any Common Stock held by Laurel Crown prior to the Public Offering and any Common Stock or other equity securities of Morton's subsequently acquired by Laurel Crown or any of its Affiliates, and (ii) any securities issued or issuable directly or indirectly with respect to the securities referred to in clause (i) above by way of dividend, distribution, recapitalization, merger, consolidation or other reorganization, including a recapitalization or exchange.
