LC FACILITY

LC FACILITY. Means the letter of credit facility, dated as of December 1, 2000, by and between the Company and James Ventures, L.P., LJH Corporation, Robert Belfer, Don A. Sanders or their designees or assigns providing for the issuance of $8.0 million of standby letters of credit in favor of Bank of America, N.A. as agent of the lenders under the Senior Credit Facility.
