LIBORBased Rate. An annual rate equal to LIBOR plus the Margin, as determined by the Bank.

LIBORBased Rate. Shall mean the LIBOR Rate plus 7.806%; provided, however, that the LIBOR-Based Rate under this Note shall be adjusted by Agent as necessary so that the weighted average of the LIBOR-Based Rate hereunder and the "LIBOR-Based Rate" under the Senior Notes (taking into consideration the interest rate and principal amount of all Notes) shall at all times equal the LIBOR Rate plus three and one-half percent (3.5%).
