Licensed Know How

Licensed Know How. All patented or unpatented inventions, discoveries, technical data, trade secrets, methods, processes, apparatus and techniques that are owned or controlled by Licensor and are necessary or useful for the marketing, sale, distribution and support of Licensed Products in Licensed Field.

Licensed Know How. The term "Licensed Know-How" shall mean only the unpatented information and data described in Exhibit B that is within the possession of the laboratory of Dr. Floyd E. Romesberg at TSRI, as Exhibit B may be amended from time to time. Licensed Know How. Licensed Know How. Means all Information that is (a) Controlled by Licensor of its Affiliates as of the Effective Date or at any time during the Term, (b) not generally known, and (c) necessary or useful for the Exploitation of the Licensed Compound and/or any Licensed Product in the Field in the Territory; excluding any Information published in a Licensed Patent.

Licensed Know How. All Know-How owned or Controlled by Licensor, Licensor's Affiliates, and GRDG as of the Effective Date and learned during the Term that is necessary or useful for the Exploitation of the Licensed Compound and/or any Licensed Product in the Field in the Territory

Licensed Know How. The documented information, techniques, technology, practices, trade secrets, inventions, data, results and records in Licensor's possession and control as of the Effective Date or at any time during the Term relating to the inventions claimed or described in the Licensed Patent Rights

Licensed Know How. Means certain technical information and know how that is not generally known in the relevant industry or which affords a possessor of the information a commercial or business advantage, which is owned or licensed by ESG, and relates to or is useful in the manufacture or use of a Licensed Product.

Licensed Know How. Know-how or data relating specifically to the Material and/or use thereof in the Field. Licensed Know-How does not contain any patent or patent applications

Licensed Know How. Shall mean all Know-How, whether patentable or not, that (a) Wyeth or any of its Affiliates owns or Controls as of the Effective Date, (b) is related exclusively to the Licensed Compound, including the Manufacture or use thereof, and (c)is necessary or useful for the Manufacture, sale or use of the Licensed Compound. Licensed Know How. Means Know-How that (a) is Controlled by Pluto or any of its Affiliates on the Closing Date after giving effect to the transactions pursuant to the Separation and Distribution Agreement; and (b) is or was used or held for use, or as of the Closing Date was planned for use, by Pluto or any of its Affiliates in the Spinco Business (including with respect to the Spinco Pipeline Products).
