Licensed Property. Means all content, software and technology elements created by or for Atari or any of its Affiliates that are part of, contained within or that comprise the Game Product, now or hereafter owned, acquired, licensed or controlled by Atari or any of its Affiliates, including, without limitation: (A) all artwork, titles and title treatment, sound effects, special effects, photographs, pictures, video footage, visual representations, designs, graphics, symbols, dialogue, music, voice, place names,... character names and likenesses, costumes, scenery, storyline and plot elements, software code; and (B) any other elements of the Game Product or other materials related to the Game Product now or hereafter owned, acquired, licensed or controlled by Atari or any of its Affiliates. Licensed Property. (i) Licensor's name, image, signature, voice and likeness and goodwill appurtenant thereto, (ii) photographic portraits, pictures, video recordings and audio recordings of the foregoing, as applicable, (iii) rights of publicity in and to her name, image, signature, voice, likeness, and other elements of her persona and identity, and (iv) all common law and statutory rights in the foregoing.

Means all Intellectual Property that is: (a) owned by Licensor or an Affiliate of Licensor, (b) is Third Party Licensed Property, or (c) for the preceding categories (a)-(b) that Licensor creates or acquires in the future, and for the avoidance of doubt, Licensed Property includes all Intellectual Property in any Improvements (as defined below in Section 2.2), (but for all of the above, only to the extent Licensor has the right to sublicense such Third Party or Affiliate Intellectual Property... to Licensee in accordance with the terms hereof) provided, however, "Licensed Property" excludes all Intellectual Property created, licensed or acquired by Licensor or an Affiliate of Licensor after the date hereof solely for use in the development of a land-based slot machine unless and until such land-based slot machine has been submitted by Licensor or its applicable Affiliate to a regulator or independent third party for regulatory testing (it being understood and agreed that such intellectual property shall not be excluded from "Licensed Property" if Licensor or its applicable Affiliate delays any such submission in bad faith past the third anniversary of the Effective Date for the purpose of excluding the relevant Intellectual Property from being licensed to Licensee pursuant to Section 2.1(a)).
