Liquid Securities

Liquid Securities. Means securities which (i) are listed or quoted on a national securities exchange, on NASDAQ (or any successors thereto), on the NASDAQ small cap market (or any successors thereto), or quoted on any United States national automated inter-dealer quotation system, and (ii) are not subject to any restrictions on Transfer (other than such restrictions arising solely as a result of the status or nature of the holder of such securities) that would be reasonably expected to prevent, hinder or... materially delay the immediate sale of such securities. Liquid Securities. Securities as to which the issuer of such securities has a "public float value", within the meaning of Rule 100, equal to at least two times the "public float value" of Axcan based upon the average number of shares outstanding during its 2006 fiscal year and the closing price reported on the Nasdaq Global Select Market, as quoted on such exchange or system on March 15, 2007, as reported in The Wall Street Journal.

Liquid Securities. Means securities (i) that are listed on a securities exchange or designated as a national market security on an interdealer quotation system, such as the NASDAQ National Market List, or (ii) that are eligible to be so listed or designated and for which there is a commitment or plan at closing of the Change in Control or Initial Public Offering for such listing or designation to occur within one year after such closing.

Liquid Securities. Freely tradable securities of a company listed on the Nasdaq National Market or the New York Stock Exchange having a public float with a market value in excess of $2,000,000,000.

Liquid Securities. Means a class of securities registered under Section 12(b) of the Exchange Act, which are listed or quoted for trading on a U.S. national securities exchange.
