Liquidated Damages Amount. Means, with respect to the shares of Common Stock underlying the Warrants, an amount equal to one quarter of one percent (0.25%) of the product of the exercise price per share of Common Stock underlying the Warrants times the number of shares of Common Stock, or Common Stock underlying the Warrants, held by such Holder per 30-day period for the first sixty (60) days, with such payment amount increasing by an additional one quarter of one percent (0.25%) of the product of the exercise price per... share of Common Stock underlying the Warrants times the number of shares of Common Stock, or Common Stock underlying the Warrants, held by such Holder per 30-day period for each subsequent sixty (60) days, up to a maximum of one percent (1.00%) of the product of the exercise price per share of Common Stock underlying the Warrants times the number of shares of Common Stock, or Common Stock underlying the Warrants, held by such Holder per 30-day period. The Liquidated Damages Amount for any period of less than thirty (30) days shall be prorated by multiplying the Liquidated Damages Amount to be paid in a full 30-day period by a fraction, the numerator of which is the number of days for which such liquidated damages are owed, and the denominator of which is 30.
