Example Definitions of "Liquidating Transaction"
Liquidating Transaction. The sale or other disposition of the last Project in which the Company holds a direct or indirect interest or of all of the Company's interest therein, including a sale or disposition of all of the interest of the Company in the last Project Entity in which the Company holds an interest.
Liquidating Transaction. Means either (i) a merger or acquisition of the Corporation (other than a transaction with a subsidiary) in which the stockholders of the Corporation prior to such transaction do not own (in the same relative proportions) a majority of the outstanding shares of the surviving corporation; (ii) a sale, transfer or other disposition of all or substantially all of the assets of the Corporation, or (iii) any other winding up or dissolution of the Corporation.
Liquidating Transaction. Means a sale, conveyance or disposition of all or substantially all the assets of the Corporation to any entity other than an Affiliate of the Corporation.
