Example Definitions of "Liquidation Value"
Liquidation Value. On any date means, with respect to one share of Series A Preferred Stock, 125% of the Stated Value of a share of Series A Preferred Stock, plus any dividends accrued through such date. 15
Liquidation Value. Has the meaning ascribed thereto in the LLC Agreement.
Liquidation Value. Means, as of any date, $50.00 per share of Series C Preferred Stock (as adjusted for stock dividends, combinations or splits with respect to such shares), plus any accrued but unpaid dividends (including Compound Dividends, if any) thereon through such date.
Liquidation Value. On any date means, with respect to one share of Series B-1 Preferred Stock, the greater of (i) the Accrued Value on such date (treating such date as a Dividend Accrual Date for purposes of calculating the Accrued Value on such date) and (ii) the amount that would have been payable in connection with such Liquidation Event on the number of shares of Common Stock into which a share of Series B-1 Preferred Stock was convertible on such date (without regard to any Conversion Cap then in effect).
Liquidation Value. Shall mean, with respect to each share of Series D Preferred Stock, Series E Preferred Stock, Series F Preferred Stock and Series I Preferred Stock, $1,000 per share.
Liquidation Value. Means $10,000.00 per share of Series B Preferred Stock, plus any accrued but unpaid dividends thereon through the Liquidation Date. 2
