LLC MATERIAL CONTRACT. Shall mean (a) the Merchant Contracts and (b) any agreement, instrument, or other writing of any kind where: (i) the LLC has any direct or indirect obligation for borrowed money (including, without limitation, any contingent liability under any guaranty), or for other financing or the right to incur such obligation; (ii) the LLC has any direct or indirect obligation under a contract or agreement in an aggregate amount in excess of ten thousand dollars ($10,000.00); or ...
