Example Definitions of "Lockup Agreement"
Lockup Agreement. Means the lock-up agreement, entered into by the Company and certain security holders and/or creditors of the Company, pursuant to which such security holders and creditors agreed not to transfer the Conversion Shares, as applicable, for a certain period of time after the Closing.
Lockup Agreement. Means the Lock-Up Agreement, entered into on the date hereof, by and between the Company and the Investors, the form of which is attached hereto as Exhibit B.
Lockup Agreement. That certain Lock-Up Agreement between the Company and the Shareholder dated of even date herewith expiring or terminating on the 2 earlier to occur of (i) three years from the date thereof, or (ii) the occurrence of a Vesting Event; provided however, in no event shall such expiration or termination occur less than one (1) year from the Closing Date.
Lockup Agreement. Means the letter agreement, dated as of the date hereof, by and between each of the Stockholders (other than FARS) and the Company, substantially in the form attached hereto as Annex I, whereby each of the Stockholders (other than FARS) has agreed to certain restrictions on the sale and transfer of the shares of Common Stock.
Lockup Agreement. Each of the Lock-Up Agreements to be entered into by the Company and each of Peter Sollenne, Kelly Alberts, Anthony Alloca, David Vandertie, Gene Resnick, Margaret Barbetti, Russell Sobel, and John Garzio.
Lockup Agreement. Shall have the meaning given to it in the Share Exchange Agreement.
Lockup Agreement. Shall mean the Lock-Up Agreement to be delivered at Closing by each of the Sellers, substantially in the form of Exhibit F attached hereto.
Lockup Agreement. Means that certain Lock-Up Agreement, dated as of even date herewith, by and among the Company and the Buyers.
