Lowest Recent Price. Means, as of each applicable Conversion Date, the lowest price per Share that Company has sold one or more Shares to an investor or lender within the 24-month period prior to the applicable Conversion Date; provided, however, that if no Shares were sold within such 24-month period, the Lowest Recent Price will be $0.50 per Share
