Example Definitions of "M&A Transaction"
M&A Transaction. Means (i) the consolidation of the Company with, or a merger with or into, any third party, following which the Company's stockholders immediately prior to such transaction, will own less than 50.1% of the surviving entity or the Company, as applicable, immediately following such transaction, or (ii) an acquisition, transfer or other disposition of all or substantially all of the Company's securities or assets.
M&A Transaction. Any transaction or series or combination of transactions, whereby, directly or indirectly, control of an interest in a company or any of its businesses or assets, other than in the ordinary course of business, is transferred to or by the Company or its affiliates for Consideration (as defined herein), including, without limitation, a sale or exchange of capital stock or assets, a lease of assets with or without a purchase option, a merger or... consolidation, a share exchange, a tender or exchange offer, a reorganization, a leveraged buyout, the formation of a joint venture, minority investment or partnership, or any similar transaction. M&A Transaction. M&A Transaction. The meaning ascribed in Appendix 3 Subsection 1(b).
M&A Transaction. M&A Transaction. Any business combination through purchase, sale, or merger, in one or more transactions through the purchase of an organization's equity, or assets.
M&A Transaction. Shall mean a sale of all or substantially all of the shares or assets of Oscine, a merger of Oscine with or into any other entity or any other transaction or series of related transactions pursuant to which the shareholders of Oscine immediately prior to such transaction hold less than 50% of the shares of the surviving entity, provided, however, that any bona fide equity financing(s) of Oscine by financial or other investors shall not be considered a M&A Transaction.
