M&A Transaction. (i) the sale, lease, assignment, transfer or other conveyance of all or substantially all of the assets or capital stock of Athersys (other than by way of merger or consolidation), or (ii) (A) Athersys consolidating with any person, (B) Athersys merging with and into any person, pursuant to which merger such person is the surviving entity, (C) any person merging with and into Athersys, pursuant to which merger Athersys is the surviving entity and the holders of capital stock of Athersys... outstanding immediately prior to such merger hold less than a majority of the voting power of the capital stock of Athersys immediately after giving effect to the merger, or (D) any other transaction deemed to be an M&A Transaction per the non-executive members of the Board of Directors of Athersys. M&A Transaction. The meaning ascribed in Appendix 3 Subsection 1(b).
M&A Transaction. A "Deemed Liquidation Event" or other similar terms defined in the Articles of Association of the Company, and in the absence of such definition each of the following events: (i) any merger, reorganization or consolidation of the Company with or into another incorporated Person, or the acquisition of the Company by another Person by means of any transaction or series of related transactions, except any such merger, reorganization or consolidation in which the issued shares of the Company as of... immediately prior to such transaction continue to represent, or are converted into or exchanged for shares that represent, immediately following such merger, reorganization, or consolidation, at least a majority, by voting power, of the outstanding shares of the surviving or acquiring incorporated Person; or (ii) a sale or other disposition of all or substantially all of the shares or assets of the Company (including, for this purpose, a conveyance, sale or disposition, or a license of all or substantially all of the intellectual property rights of the Company, which has the effect or economic impact similar to a sale of all or substantially all of the intellectual property rights of the Company), in a single transaction or a series of related transactions. M&A Transaction. Any business combination through purchase, sale, or merger, in one or more transactions through the purchase of an organization's equity, or assets.
M&A Transaction. Shall mean a sale of all or substantially all of the shares or assets of Oscine, a merger of Oscine with or into any other entity or any other transaction or series of related transactions pursuant to which the shareholders of Oscine immediately prior to such transaction hold less than 50% of the shares of the surviving entity, provided, however, that any bona fide equity financing(s) of Oscine by financial or other investors shall not be considered a M&A Transaction.
