Major Countries. As used in this Agreement means each of the following geographic territories: United States, Japan, United Kingdom, France, Germany and Italy.

"Net Sales" means gross amounts invoiced by Schwarz and/or its Affiliate or sublicensee(s) for sales of Licensed Product(s) produced hereunder (excluding without limitation Licensed Product(s) used in clinical trials) to a third party, less the sum of the following items: (a) Sales, excise taxes and custom duties paid or allowed by the selling party; (b) Refunds, allowances or credit for returns or recalled Licensed Product; (c) Normal and customary trade, quantity and cash discounts and allowances actually allowed; (d) Transportation, freight and insurance allowances; and (e) Rebates actually granted to wholesalers, administrative fees in lieu of rebates paid to managed care and similar institutions, chargebacks and retroactive price adjustments. No deductions shall be made for commissions paid to individuals whether they be with independent sales agencies or regularly employed by Schwarz, and/or its sublicensee(s) and on its or their payroll or for cost of collections. Licensed Products shall be considered "sold" when billed out or invoiced. Major Countries. Shall mean (i) initially France, Germany, Italy, and United Kingdom and (ii) potentially later Spain, provided that ULURU had re-acquired the rights back from Esteve S.A., Spain, in accordance with Section 3.1.5.
