Majority Investors

Majority Investors. Shall mean, as of any date, the holders of a majority of the Investor Shares outstanding on such date.

Majority Investors. Means the Investors holding a majority of the Securities outstanding from time to time (determined as if all of the Pre-Funded Warrants then outstanding have been exercised without regard to any limitations on the exercise of such Pre-Funded Warrants).

Majority Investors. Means, with respect to any date of determination, the holders of a majority of the Stockholders Shares held by the Investors as of such date.

Majority Investors. Shall mean, together, Hillman CDT, Hillman CDT 2000, Hillman Capital Management LLC, a Delaware limited liability company, Hillman Capital Management 2000 LLC, a Delaware limited liability company, KIA VI, KEP VI, the respective Affiliates of any of the foregoing, and any Kelso Designee.

Majority Investors. Shall mean, as of any date, the holders of a majority of the Shares held by the Kohlberg Investors.

Majority Investors. Means the Investors holding a majority of the shares of Common Stock then held by all of the Investors.

Majority Investors. Means Investors who hold a majority in outstanding principal amount of the Convertible Promissory Notes.

Majority Investors. Means Investors holding a majority of the Registrable Securities, assuming for purposes of this definition that the Note was entirely converted into Conversion Shares pursuant to its terms immediately prior to the date of determination.

Majority Investors. Shall mean Persons that, at any given time, hold that number of shares of Preferred Stock which, if converted, would entitle them to hold 65% of the Common Stock issuable upon conversion of the Series B Preferred Stock and Series C Preferred Stock.

Majority Investors. And include the Avalon Major Investor and the MPM Major Investor; provided, however, that to the extent that any of the foregoing ceases to hold shares of Series A Preferred Stock, Series B Preferred Stock or Series C Preferred Stock, such entity shall no longer be a Majority Investor
