MakeWhole Amount. The interest that would have accrued on such principal amount for the period from and including the prepayment date to but excluding February 25, 2005 and (iv) a prepayment premium equal to 6% of that portion of the Original Principal Amount being so prepaid (the amounts under clauses (iii) and (iv) collectively, the "Make-Whole Amount")
MakeWhole Amount. Means: (i) in connection with any conversion or prepayment of this Note prior to the first anniversary of the Initial Closing Date, the aggregate amount of interest that, but for such conversion or prepayment hereunder on such given date, would have accrued with respect to the principal balance of this Note being converted or prepaid at the applicable interest rate of this Note for the period from such given date through the first anniversary of the Initial Closing Date; (ii) in connection with... any conversion or prepayment of this Note after the first anniversary of the Initial Closing Date but prior to the eighteen month anniversary of the Initial Closing Date, the aggregate amount of interest that, but for such conversion or prepayment hereunder on such given date, would have accrued with respect to the principal balance of this Note being converted or prepaid at the applicable interest rate of this Note for the period from such given date through the eighteen month anniversary of the Initial Closing Date; and (iii) in connection with any conversion or prepayment of this Note after the eighteen month anniversary of the Initial Closing Date but prior to the Maturity Date, the aggregate amount of interest that, but for such conversion or prepayment hereunder on such given date, would have accrued with respect to the principal balance of this Note being converted or prepaid at the applicable interest rate of this Note for the period from such given date through the Maturity Date. MakeWhole Amount. Means with respect to the holders of the Prudential Notes, the "Yield Maintenance Amount" as defined in the Prudential Agreement except that (for purposes of this Agreement only) the "Reinvestment Yield", which is defined in the Prudential Agreement and used in computing such Yield Maintenance Amount, shall be the rate of 1.45% per annum with respect to the 9.24% Notes, 1.55% per annum with respect to the 7.61% Notes, 3.45% per annum with respect to the 6.36% Notes, and 1.62% per annum with... respect to the 5.92% Notes, above the Reinvestment Yield, as it would otherwise be calculated under the Prudential Agreement, and with respect to additional Prudential Notes issued under the Prudential Agreement, the initial spread over comparable average life U.S. treasuries at time of commitment 6 to purchase such Prudential Notes above the Reinvestment Yield, as it would otherwise be calculated under the Prudential Agreement. MakeWhole Amount. Shall mean the sum of the present values of the Remaining Scheduled Payments discounted to the date of redemption on a quarterly basis (calculated on the basis of a 360-day year comprised of twelve 30-day months) at the Treasury Rate plus 25 basis points.
MakeWhole Amount. Means, on any date of prepayment of all or any portion of the Obligations, an amount in cash equal to the present value, as determined by Grace Bay in its reasonable discretion, of all required interest payments (including interest payments on interest paid in kind) due on Obligations that are prepaid from the date of prepayment through and including the Maturity Date (it being acknowledged and agreed that the interest rate applicable to all such interest shall be 10.25%, which includes Default... Rate interest), discounted to the date of prepayment on a quarterly basis (assuming a 360-day year and actual days elapsed) at a rate equal to the sum of the Treasury Rate plus 0.50%. The parties hereto acknowledge and agree that, in light of the impracticality and extreme difficulty of ascertaining actual damages, the Make-Whole Amount set forth herein in intended to be a reasonable calculation of the actual damages that would be suffered by Grace Bay as a result of any such repayment/prepayment.
