Market Valuation. Shall mean for any Distribution of a Subsidiary ---------------- Group Parent as of its Distribution Date (i) with respect to the Subsidiary Group Parent, the fair market value of all of its outstanding stock (measured using the mean of the high and low of the public trading price) as of such date, or (ii) with respect to Cabletron, the fair market value of all of its outstanding stock (measured using the mean of the high... and low of the public trading price) as of such date, less the fair market value of all of the outstanding stock of the other Subsidiary Group Parents (measured using the mean of the high and low of the public trading price, if any, or other similar measure of fair market value as determined by Cabletron), as of such date, that are distributed subsequent to such Distribution Date.
