Example Definitions of "Market Value"
Market Value. Means, on the date in question (or, if the date in question is not a trading day, on the last trading day preceding the date in question), the per share closing price of the Shares on the principal securities exchange on which the Shares are listed (if the Shares are so listed), or on the Nasdaq Stock Market (if the Shares are listed on the Nasdaq Stock Market), or, if not listed on a securities exchange or the Nasdaq Stock Market, the average of the per share closing bid prices of the Shares... as reported on the OTC Bulletin Board, or, if such bid prices are not reported on the OTC Bulletin Board, as reported by any nationally recognized quotation service selected by the Committee, in each such case averaged over a period of the twenty (20) trading days preceding the date in question, or, if no such price information is reported, the fair market value on such date of a Share as the Committee shall determine. Market Value. For any date, the price determined by the first of the following clauses that applies: (a) if the Common Stock is then listed or quoted on a Trading Market (other than the OTC Bulletin Board or Pink Sheets), the daily volume weighted average price of the Common Stock for such date (or the nearest preceding date) on the Trading Market on which the Common Stock is then listed or quoted as reported by Bloomberg Financial L.P. Market Value. Market Value. Means the fair market value of a Person's entire equity determined on a going concern basis as between a willing buyer and a willing seller and taking into account all relevant factors determinative of value (but not taking into account any discounts for lack of liquidity, minority position or other similar or related discounts), plus (to the extent not otherwise taken into consideration in the determination of fair market value of such Person's entire equity) the aggregate amount of cash or... property payable or to be surrendered to such Person upon exercise or conversion of all Options and Convertible Securities and the principal amount of any debt constituting Convertible Securities; provided, that, in the event that the Put is exercised in connection with a Change of Control or Organic Change, the sale price or public offering price, as the case may be, shall determine Market Value and no appraisal pursuant to the following sentence shall be conducted, except to the extent necessary to determine the cash value of any noncash consideration payable in connection with a Change of Control or Organic Change. Unless otherwise agreed by the Issuer and Holder, Market Value shall be determined by an investment banking firm reasonably acceptable to the Issuer and Holder, which firm shall submit to the Issuer and Holder a written report setting forth such determination. If the parties are unable to agree on an investment banking firm within fifteen (15) days after delivery of a Put Notice, a third firm will be selected by agreement of two investment banking firms, one selected by the Issuer and one selected by Holder. The expenses of such firm shall be borne by the Issuer up to $15,000.00, and the determination of such firm shall be final and binding upon all parties, except that after the determination of Market Value following the exercise of the Put, the Warrant Holders may rescind the exercise of such Put within ten (10) days after receipt of such determination, in which case the expenses of such firm shall be borne by the rescinding party. Market Value. The value calculated by multiplying the total number of outstanding Shares by the average closing price of the Shares over the 30 trading days beginning 180 calendar days after the Shares are first listed on a national security exchange or included for quotation on Nasdaq, as the case may be.
