Material Adverse Amendment. An amendment to the Merger Agreement that (i) materially and adversely affects the Stockholder and (ii) is approved by the Company's Board of Directors notwithstanding the fact that in such vote the Stockholder's nominee on the Company's Board of Directors voted against such amendment.
