Material Adverse Effect

Material Adverse Effect. Any change (individually or in the aggregate) in the general affairs, management, business, goodwill, results of operations, condition (financial or otherwise), assets, liabilities or prospects (whether or not the result thereof would be covered by insurance) that will or can reasonably be expected to result in a cost, expense, charge, liability or diminution in value of the Assets individually or in the aggregate, equal to or greater than $25,000.00.

Material Adverse Effect. Means a material adverse effect on the condition (financial or otherwise), business, assets, results of operations or prospects of the Company or any Subsidiary taken as a whole. -28-

Material Adverse Effect. Means a material adverse effect on (i) the results of operations, cash flow, business prospects, customer, supplier or employee relations or financial condition of the Company and its Subsidiaries taken as a whole, or (ii) the ability of the Company to perform its obligations under the Transaction Documents.

Material Adverse Effect. Shall mean a material adverse effect on the business, operations, assets, prospects, or condition, financial or otherwise, of the Company.
