Material Adverse Effect. Shall mean an event, change, or occurrence that has a material negative impact on the financial condition, prospects, business, or results of operations of the LLC, the Sellers, or the Purchaser, as the case may be, or that prevent a party's ability to consummate the transactions contemplated by this Agreement.
