Material Adverse Effect

Example Definitions of "Material Adverse Effect"
Material Adverse Effect. Means a material adverse effect on the (i) condition (financial or otherwise), business, assets or results of operations of the Company; (ii) ability of the Company to perform any of its material obligations under the terms of the Agreements; or (iii) material rights and remedies of a Purchaser under the terms of the Agreements.
Material Adverse Effect. (i) a material adverse effect upon the business, operations, liabilities (whether contractual, environmental or otherwise), properties, assets, condition (financial or otherwise) or prospects of the Debtors taken as a whole or (ii) the material impairment of the ability of any Debtor to perform the obligations of the Debtors under the Note

Means a material adverse effect on (a) the financial condition of Pledgor (b) the ability of Pledgor to perform its obligations under this Agreement, (c) the ability of the Secured Parties to enforce any material obligations of Pledgor under thisAgreement; or (d) the validity or priority of the Secured Parties' security interests in and Liens on the Collateral and the continued effectiveness and enforceability thereof.
