Material Agreements. Shall mean the agreements to be described ------------------- in Exhibit H to be attached hereto.

The agreements, contracts and other similar documents filed as exhibits to the Registration Statement, the Partnership's Annual Report on Form 10-K for the year ended December 31, 1999, or the Partnership's Quarterly Reports on Form 10-Q for the quarters ended March 31, 2000, June 30, 2000, and September 30, 2000, or the Partnership's Current Reports on Form 8-K prior to the Execution Time.
