Material Equity Financing

Material Equity Financing. Means any public or private equity financing consummated through the issuance of Common Stock or preferred stock of the Company or any Page 2 Subsidiary of the Company which, whether in one or more transactions or series of transactions, would result, in the aggregate, in net cash proceeds to the Company in excess of two million, five hundred thousand dollars ($2,500,000).
