Material Indebtedness
Material Indebtedness. Indebtedness (other than the Letters of Credit) or obligations in respect of one or more Hedging Agreements of Petsmart in an aggregate principal amount exceeding $5,000,000. For purposes of determining the amount of Material Indebtedness at any time, the "principal amount" of the obligations in respect of any Hedging Agreement at such time shall be the maximum aggregate amount that Petsmart would be required to pay if such Hedging Agreement were terminated at that time.
