Material Interest. 1. the holding of any position as director, officer, employee, consultant, partner, principal or agent; 2. the direct or indirect control or ownership (whether jointly or alone) of any shares save for the ownership for investment purposes only of not more than 5% of the issued ordinary shares of any company whose shares are listed on any Recognised Investment Exchange (as defined in Section 285 of the Financial Services and Markets Act 2000);
