Maximum Authorized Amount

Maximum Authorized Amount. Means, on any date, (A) the number of authorized shares of Common Stock under the Certificate of Incorporation that have not been issued as of such date less (B) all of the shares of Common Stock underlying all of the then outstanding options, warrants and convertible securities of the Corporation, other than the Series A-1 Preferred Stock and the Series B Preferred Stock.
