MDB Shares

MDB Shares. Shall mean the shares of Common Stock issued to the MDB Holders, and the shares of Common Stock issuable upon the exercise of the Warrant dated December 17, 2004, issued by the Company to the MDB Holders, in each case in connection with the Merger and the Purchase Agreement.
