MDCP Securities

MDCP Securities. Means the Purchaser Securities derived from the Series A Preferred Units held by MDCP immediately prior to the closing under the Equity Purchase Agreement on the date of this amendment and restatement (which Series A Preferred Units are set forth opposite MDCP's name on the "Schedule of ----------- Prior Purchasers" attached to the Equity Purchase Agreement as in effect on the - ---------------- date of this amendment and... restatement).
