Membership Percentage

Membership Percentage. Means, as to a Member, the percentage of Units held by such Member in proportion to the total number of Units in the Company, and as to an Interest Holder who is not a Member, the Membership Percentage of the Member whose Membership Units have been acquired by such Interest Holder, to the extent the Interest Holder has succeeded to that Member's Membership Units.
