Example Definitions of "Memorandum"
Memorandum. Shall mean the Confidential Private Placement Memorandum of the Company, as amended, modified or supplemented from time to time.
Memorandum. The Request for Capital Investment, dated April 18, 1996, prepared by the Company in connection with the offer and sale of the Shares.
Memorandum. Shall mean the Company's Confidential Private Placement Memorandum dated as of April 21, 2010, pursuant to which the Notes were offered and sold.
Memorandum. The term "Memorandum" shall mean the private placement memorandum pursuant to which this Warrant was issued as part of "Units" comprised of Series AA Preferred Stock and Offering Warrants.
Memorandum. Shall mean the private placement memorandum dated November 14, 2006 of the Company, as amended from time to time.

Memorandum. The "Memorandum" is the Confidential Private Placement Memorandum prepared by the Company and dated June 20, 2013, as may be modified, supplemented, or restated from time to time. Terms used in this Agreement without being defined shall have the meanings assigned to them in the Memorandum.
Memorandum. Shall mean the offering materials provided to each Lender, and are comprised of this Agreement (including all exhibits) and such other offering materials if any as the Company shall provide to the Holders of the Notes.
